However, he could not produce any documents containing these retirement terms and he testified that he never read the employment agreement, according to the court. The company's stock provided vested options may options exercised within three months from the date of termination but in no case later than ten years from the date of grant. The former employee argued that the word "may be exercised" in the plan language was permissive rather stock mandatory, thus the clause should be construed so that he may, but was not required, to exercise his options three months after his retirement.
